E-mail that we (a) directly send to patients or (b) send on behalf of our medical practice clients to the patients of those medical practice clients in order to perform, complete, or confirm services that (i) the patients or (ii) the medical practice clients have requested for those patients is classified by us as transactional and/or relationship content e-mail that is integral to our client services. We do not provide a means of opt-out from such e-mail. In those cases in which we believe patient e-mail is not primarily for transactional/relationship purposes, the e-mail will include capability to opt-out of receiving further e-mails from us, if the patient wishes to do so, and that capability will be consistent with applicable laws and regulations.

We consider the e-mail addresses of our clients' patients that are provided to us by our clients, by those patients themselves via our Site, or by others in the course of our providing client services to be private information that is protected under the privacy and security provisions of the Health Insurance Portability and Accountability Act of 1996, as amended (HIPAA), and other applicable federal and state privacy and security laws. These laws include strict limitations on the use to which this information may be put. We disclose and use such addresses only for legitimate business purposes as permitted by HIPAA and such laws and regulations. We do not use such addresses to market or promote ourselves. We require all contractors (other than ISPs and other carriers) that we retain to aid us in sending, receiving, or tracking patient e-mails using such addresses to agree to confidentiality provisions in business associate agreements as required under HIPAA.

Cynvenio Biosystems provides feedback functionality on the Site that allows you to submit comments, suggestions, or bugs found. Cynvenio Biosystems may collect your name and email address in order to follow up with you or thank you for a suggestion.

Cynvenio Biosystems uses third-party analytics tools to track the Site to analyze trends, administer the Site, track your actions and use of the Site, record transactions, and gather demographic information for aggregate use. Such analysis is not linked to personally identifiable information.

Binding Arbitration

Code. Civ. Proc. 1280, et seq.) or of any successor statute enacted in the State of California. Any arbitration proceeding pursuant to this Agreement shall be conducted by a single neutral arbitrator appointed in the manner specified by California Code of Civil Procedure Section 1281.6 and, unless otherwise mutually agreed by the parties to said proceeding, shall be held in the City of Santa Barbara, State of California. The arbitrator shall not have the power either to alter, amend, modify or change any of the terms of these Terms of Use, to grant any remedy which is either prohibited by the terms of this Agreement or not available in a court of law or equity, or to grant or award punitive or exemplary damages against any party. Any award rendered by such arbitrator shall be final, conclusive, and binding on each and all of the parties hereto and their respective heirs, personal representatives, successors and assigns, and judgment thereon shall be entered and subject to confirmation in any court having jurisdiction thereof in accordance with the applicable provisions of said California Arbitration Act. The expenses and fees of the arbitrator and the other expenses of the arbitration as defined in California Code of Civil Procedure Section 1284.2 shall be borne by the parties involved in pro rata shares unless the arbitrator deems such division of said expenses and fees to be inequitable, and in that event the arbitrator may allocate responsibility for payment of said expenses and fees among the parties involved as the arbitrator deems most just and equitable under the circumstances. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE THE RIGHT TO A JURY TRIAL.

Severability and Integration

These Terms of Use and any supplemental terms, policies, rules and guidelines posted on the Site constitute the entire agreement between you and us and supersede all previous written or oral agreements. If any part of the Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
